IMPORTANT — PLEASE READ: BY (1) ACCESSING OR USING OUR WEBSITES, TICKETING/RSVP PAGES, WI-FI, OR OTHER ONLINE SERVICES; (2) PURCHASING, HOLDING, OR USING A TICKET OR ENTERING THE VENUE; OR (3) CLICKING “I ACCEPT,” YOU AGREE TO THESE TERMS OF USE (“Terms”) AND OUR Privacy Policy. THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES OR ENTER THE VENUE.

1. General Information

1.1 Services
These Terms govern your use of: (a) our websites, link-in-bio pages, forms, and Wi-Fi portals; (b) content, listings, and communications (email/SMS); (c) ticketing/RSVP, guest list, and entry to events at ZeyZey; and (d) any mobile or web applications we operate (collectively, the “Services”). “You” means the individual using the Services and/or entering the venue.
1.2 Contract & Privacy
These Terms and our Privacy Policy form the entire agreement regarding your use of the Services. If there is a conflict, these Terms control. Our Privacy Policy explains how we collect and use information.
1.3 Changes
We may update these Terms at any time. We’ll post the updated version and update the “Effective Date.” Continued use after changes means you accept them.

2. Accounts, Eligibility & Communications

2.1 Registration; Accuracy
If you create an account or submit forms (e.g., newsletter, SMS, RSVPs), you agree to provide accurate information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
2.2 Age; ID; Venue Rules
Some events are 18+ or 21+. A valid, government-issued photo ID may be required. Entry is subject to venue policies (e.g., security screening, bag checks, prohibited items). We reserve the right to refuse admission or eject any person for safety, policy violations, or illegal behavior, without refund.
2.3 Consent to Communications
By providing your email/phone, you consent to receive service and marketing messages (subject to applicable law). You may unsubscribe (email) or reply STOP (SMS) to opt out of marketing; transactional messages may still be sent.

3. Tickets, Orders, Fees & Refunds

3.1 Ticketing Partners
Tickets/RSVPs may be sold or managed by third-party platforms (e.g., Shotgun, Resident Advisor, Bandsintown) and payment processors (e.g., Stripe). Their terms and privacy policies apply in addition to these Terms.
3.2 Orders & Limits
We may set quantity limits, verify information, and cancel suspected fraud or resale orders. Tickets are revocable licenses to attend a specific event, date, time, and location.
3.3 Pricing & Fees
All prices, fees, and taxes are displayed or disclosed at checkout and may change without notice before purchase. Service and processing fees are generally non-refundable unless required by law.
3.4 All Sales Final; Postponements; Cancellations
All sales are final unless we state otherwise or the law requires a refund.
Postponement: Tickets are typically valid for the rescheduled date; refunds, if any, follow the ticketing partner’s policy.
Cancellation: If an event is canceled, refunds (face value and, where applicable, certain fees) will generally be processed by the original point of purchase.
Partial Performance / Talent Changes: Lineups and set times may change; such changes are not grounds for a refund.
3.5 Resale & Transfers
Unauthorized resale, duplication, or transfer may void the ticket. Lost or stolen tickets will not be replaced except as required by law or the ticketing partner’s policy.

4. Venue Conduct & Safety

4.1 Prohibited Conduct
You agree not to: (a) bring prohibited items (e.g., weapons, illegal drugs, outside alcohol); (b) harass, endanger, or interfere with staff, artists, or patrons; (c) bypass security or restricted areas; (d) engage in commercial activity without written permission; or (e) violate any law or venue policy.
4.2 Searches & Refusal of Entry
For safety, we may conduct security screenings (e.g., bag checks, metal detection). Refusal to cooperate may result in denial of entry or ejection without refund.
4.3 Assumption of Risk
Live events may involve loud music, strobe/laser lighting, and crowded conditions. By attending, you assume all risks of personal injury, property damage, illness (including communicable diseases), and other hazards inherent to events and venues, to the maximum extent permitted by law.
4.4 Accessibility
We aim to provide reasonable accommodations consistent with applicable law. Email us ahead of your visit at zeyzey@grassfedculture.com for assistance.

5. Content, IP & License

5.1 Your License to Use Services
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.
5.2 Our IP
All content on the Services—including text, graphics, logos, photos, audio/video, and software—is owned by ZeyZey or its licensors and protected by IP laws. You may not copy, distribute, modify, reverse-engineer, or create derivative works except as expressly permitted.
5.3 Feedback
If you provide suggestions or feedback, you grant ZeyZey a worldwide, perpetual, irrevocable, royalty-free license to use and exploit them without restriction.

6. User Content, Photos & Recordings

6.1 User Content
If you post or submit content (e.g., comments, reviews), you represent that you own or have rights to it and grant ZeyZey a worldwide, royalty-free license to use, reproduce, display, and distribute it in connection with the Services.
6.2 On-Site Photography/Video
Entry to the venue constitutes consent to be photographed/filmed in public/common areas and to the use of such content for editorial or promotional purposes in any media, as allowed by law. For takedown requests, email zeyzey@grassfedculture.com with links/screenshots.

7. DMCA (Copyright) Notice

We respect intellectual property rights. If you believe content on our Services infringes your copyright, send a DMCA notice containing the elements required by 17 U.S.C. §512(c)(3) to:

We may remove content and, where appropriate, terminate repeat infringers.

8. Acceptable Use & Security

You must not: (a) introduce malware or harmful code; (b) attempt unauthorized access to the Services; (c) interfere with security features; (d) scrape or harvest data without permission; or (e) use the Services for unlawful or harmful purposes. Report security issues to zeyzey@grassfedculture.com

9. Availability & Changes to Services

We may update, suspend, or discontinue any Service, event, or feature at any time. We strive for accuracy but do not guarantee that information (e.g., schedules, lineups) is error-free.

10. Third-Party Links & Services

The Services may link to third-party websites, ticketing partners, or platforms. We are not responsible for their content, policies, or practices.

11. Disclaimers; Limitation of Liability; Indemnity

11.1 Disclaimers
THE SERVICES, TICKETS, EVENTS, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZeyZey AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS/REVENUE/GOODWILL; OR FOR LOSS, THEFT, OR DAMAGE TO PERSONAL PROPERTY. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO ZeyZey (OR ITS TICKETING PARTNER) IN THE 12 MONTHS BEFORE THE CLAIM OR $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS—YOUR RIGHTS MAY VARY.
11.3 Indemnity
You agree to defend, indemnify, and hold harmless ZeyZey and its affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services or attendance at events; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) your content or conduct.

12. Arbitration Agreement & Class Action Waiver

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR RIGHTS.

12.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, “Disputes”) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except you may bring qualifying individual claims in small claims court.
12.2 Class Action Waiver
YOU AND ZEYZEY AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.
12.3 Procedures; Venue; Fees
Arbitration will be conducted by the AAA. Unless you and we agree otherwise, hearings will occur in Miami-Dade County, Florida, or by video/teleconference as the arbitrator permits. The arbitrator has the authority to award all remedies available in court to an individual claimant. Fees will be allocated as provided in the AAA Rules.
12.4 Opt-Out
You may opt out of this Arbitration Agreement within 30 days of first accepting these Terms by emailing zeyzey@grassfedculture.com with your full name, contact information, and a clear statement that you opt out. If you opt out, you agree to the venue and governing law in §13.
12.5 Severability
If any part of this Arbitration Agreement is found unenforceable, the remainder shall still apply, except that if the class action waiver is found unenforceable, this entire Arbitration Agreement is void.

13. Governing Law; Venue; Time to Bring Claims

These Terms and any non-arbitrable disputes are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue (for claims not subject to arbitration) lies in the state or federal courts in Miami-Dade County, Florida, and you consent to personal jurisdiction there. Any claim must be brought within one (1) year after it accrues, except where prohibited by law.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., acts of God, labor disputes, epidemics/pandemics, governmental actions, power or network failures).

15. Miscellaneous

No Waiver. A failure to enforce any provision is not a waiver.
Severability. If a provision is unlawful or unenforceable, it is severed; the rest remains in effect.
Assignment. We may assign our rights/obligations; you may not assign without our consent.
Headings. For convenience only and not interpretive.
Entire Agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Services and supersede prior or contemporaneous understandings.
